Terms and conditions

Terms of sale of LOTO goods and services to businesses based on a quote, including the company account and the online LOTO training.

Last updated: 26 October 2026

1. Introduction

These terms and conditions govern the sale of goods and services by IP Industries s. r. o., Hlavná 6/11, 919 26 Zavar, Slovakia, Company ID 36 240 184, Tax ID 2020165708, VAT no. SK2020165708, registered in the Commercial Register of the District Court Trnava, Section Sro, File No. 30398/T (the “Seller”).

They apply to buyers purchasing as businesses or legal entities (providing a company ID). Relations between the Seller and the Buyer are governed by the Slovak Commercial Code (Act No. 513/1991 Coll.). These terms form part of every contract with the Seller (Section 273 of the Commercial Code); for the online training, work instruction and LOTO boards, the data processing agreement also forms part of it (section 13). Different terms agreed in a quote or a written contract take precedence over these terms.

2. Inquiry and quote

  • An inquiry sent via the website is non-binding. Based on it, the Seller prepares a quote.
  • A quote is valid until the date stated in it. Prices are in euros excluding VAT; VAT is added in accordance with applicable law.
  • Unless stated otherwise, the delivery price is specified in the quote or in the order confirmation.

3. Conclusion of the contract

The purchase contract is concluded by the Buyer’s binding order based on a valid quote – by clicking “Place binding order” on the quote page or by confirming the quote in writing (including by email). The Seller confirms acceptance of the order by email and announces the delivery date.

The quote link is intended for the Buyer; the Buyer is responsible for whom it shares it with. If the Buyer does not notify the Seller without undue delay after receiving the email order confirmation that the order was not sent by a person authorised to act on its behalf, the order is deemed approved by the Buyer (Section 33a of the Slovak Civil Code). An order sent from the company account is the Buyer’s order (section 9).

If goods are out of stock or the supplier’s conditions change, the Seller will inform the Buyer without undue delay and agree an alternative date or solution; in such a case the Buyer may withdraw from the undelivered part of the order.

4. Payment terms

  • On invoice – with the due date stated on the invoice.
  • Bank transfer in advance – based on a pro forma invoice; goods are dispatched after the payment is received.
  • In the event of late payment, the Seller is entitled to default interest under Section 369 of the Commercial Code and to lump-sum compensation for recovery costs under Section 369c of the Commercial Code; it may also suspend further deliveries and services (including the online training) until payment.

5. Delivery and transfer of risk

  • Goods are delivered to the address stated in the order by a courier or by another agreed method.
  • The risk of damage to the goods passes to the Buyer upon receipt of the goods or upon their handover to the first carrier.
  • Ownership of the goods passes to the Buyer only upon full payment of the purchase price.

6. Inspection, defects and complaints

  • The Buyer must inspect the goods as soon as possible after delivery. Damage caused in transit must be noted on the carrier’s delivery note and reported to the Seller within 3 working days.
  • Other defects must be reported without undue delay after discovery, no later than 24 months after delivery (Section 427 of the Commercial Code), unless the quote or the manufacturer’s warranty states a different period. A quality guarantee applies only if and to the extent expressly stated in the quote or warranty card.
  • Send complaints to obchod@lockout-tagout.sk with the order or invoice number, a description of the defect and a photo. The Seller will resolve the complaint within 30 days of receipt by repair or replacement at its choice; if this is not possible or does not succeed within a reasonable time, the Seller will grant a reasonable discount or the Buyer may withdraw from the contract for the defective goods and the Seller will refund the price.
  • Liability for defects does not cover wear from normal use, mechanical damage, incorrect installation or use contrary to the instructions and intended purpose of the product.

7. Returns

Business purchases carry no statutory right to withdraw from the contract without giving a reason. Unused and undamaged goods in their original packaging may be returned only by prior agreement with the Seller; goods made or customised to order (e.g. LOTO boards, printed tags) cannot be returned.

8. Services (LOTO implementation, site visits, training, boards)

The scope, price and date of services (LOTO implementation, site visits, on-site training, LOTO boards, work instruction, online training) are set out in the quote. Sections 9 to 11 also apply to the company account, online training, work instruction and LOTO boards.

Information provided by the Buyer (machine layouts, list of energy sources, photos) must be true and complete; the Buyer is responsible for the accuracy of equipment data. The Buyer approves the outputs (procedures, boards) before production.

9. Company account

  • A company account is created by the Seller by invitation only – at the Buyer’s request or in connection with an inquiry, quote or order. The invited person sets a password via the link in the email (valid for 3 days). Self-registration is not possible. The account is free of charge.
  • The Buyer decides which persons should have access and informs the Seller without undue delay when access must be removed (e.g. when employment ends). Actions taken from the account are deemed to be the Buyer’s actions.
  • All users of a company account see all of the company’s documents – inquiries, quotes (except drafts), orders and the online training including the participant list, results and records – and can manage the online training. Users do not have separate permissions.
  • Users must protect their password, not share it and, if misuse is suspected, change it and inform the Seller. The Seller is not liable for damage caused by misuse of a password that the Buyer or its user failed to protect.
  • The Seller may suspend or cancel access in the event of misuse, a security risk or after cooperation ends; it may cancel access not used for 24 months after prior notice by email. Documents (quotes, orders, invoices) are not affected.
  • A document is linked to a company account based on the Seller’s data (company stated in the document or a user’s email). A company ID entered in an inquiry is not, by itself, used for linking.

10. Online LOTO training

  • Subject. The Seller provides the Buyer with the online LOTO courses activated in the quote (authorised employees, affected employees, contractors) for the agreed number of participants and activation period. In the company account the Buyer adds participants, prints QR sheets, sends invitations and downloads certificates and the record of instruction. Participants can be added and invitations sent only after the data processing agreement has been accepted (section 13).
  • Course. Each participant has a personal link (QR code). The course consists of explanations and a test; it is passed with at least 80 % correct answers, 3 attempts are available, after which the course is repeated from the beginning. After passing, the participant confirms the instruction with a finger-drawn signature and a certificate (confirmation of completion) valid for 24 months is issued. Participants with an email receive a reminder if they have not started within 7 days and 30 days before validity ends; company account users receive a summary of expiring validities. Reminders and summaries are sent only while the service is active.
  • The employer’s duties remain with the Buyer. The online training is a supporting tool for instructing employees and checking their knowledge. It does not replace the Buyer’s duties as employer under Slovak Act No. 124/2006 Coll. on Occupational Health and Safety, in particular the duty to demonstrably instruct employees on health and safety rules and on procedures for specific equipment (Section 7), practical training at the equipment, risk assessment and deciding who is trained and how often. Completing the course is not a professional qualification or verification under specific regulations (e.g. Slovak Decree No. 508/2009 Coll.). The recommended 24-month validity does not prevent the Buyer from setting a shorter interval.
  • Participant identity. The system identifies the participant by the personal link, confirmation of name, personal number (if entered by the Buyer) and signature. The Buyer ensures that each link reaches the right employee and that the training is completed in person; the Buyer is responsible for the accuracy of the data entered. The personal link should be protected like a password – until the participant’s record is deleted, the certificate can be downloaded through it.
  • Content and versions. The Seller updates the course content in line with practice and regulations. The content version is recorded at each completion and stated on the certificate; certificates already issued are not affected. The “At your company” part is based on the Buyer’s data (work instruction, LOTO boards), for which the Buyer is responsible.
  • Availability. The Seller operates the service with professional care but does not guarantee uninterrupted availability; short outages and maintenance are not a breach of contract. The Buyer should start the training well before any deadline by which instruction is needed. In case of an outage longer than 3 working days during activation, the activation period will be extended accordingly at the Buyer’s request.
  • Price and end of service. Price, number of seats and activation period are stated in the quote. The service ends on the activation end date; if none is set, when the Seller deactivates the service with notice by email or when the contract ends. After the service ends, training links can no longer be used. Company account users receive an email 30 and 7 days before deletion, and 60 days after the service ends participant data including signatures are deleted automatically under the data processing agreement (section 13). A certificate may still be valid at that time – the Buyer downloads and archives certificates and records itself before deletion.
  • Rights to content. Courses, texts, images and tests are the Seller’s work; the Buyer may use them only through the service to train its employees and contractors during activation. The Buyer may use certificates and records of instruction without restriction.

11. LOTO work instruction and LOTO boards

  • The Seller sends the Buyer a link to a questionnaire (valid for 60 days). Based on the answers it prepares a draft LOTO work instruction (PDF and Word) in the Buyer’s name, with its logo and document number; LOTO boards are prepared from the Buyer’s photos, sketches and data.
  • The document is the Buyer’s document. The Buyer reviews, amends if needed, approves and issues the draft in its own document management system. The Buyer is responsible for its consistency with the actual situation at its site, its risk assessment and applicable law; by approving the draft and the board before production the Buyer confirms their accuracy (section 8).
  • The Seller is responsible for the draft corresponding to the Buyer’s answers and materials and to generally accepted LOTO practice at the time of preparation. It is not responsible for incorrect, incomplete or outdated data of the Buyer, for errors the Buyer could have detected when approving, or for changes made by the Buyer. The draft is not a risk assessment or an expert opinion.
  • The Buyer receives a non-exclusive, perpetual licence to use, modify and copy the delivered instruction and boards for its own operations. Templates, structure and model texts remain the Seller’s.
  • Machine photos should not show people. The Buyer is responsible for being entitled to provide the photos and logo to the Seller.

12. Safety and liability

  • LOTO products are aids for isolating energy sources. The Buyer, as the employer, is responsible for implementing and following occupational safety procedures on its equipment in accordance with health and safety regulations.
  • The Seller is not liable for damage caused by incorrect use of the products, their modification or use contrary to the instructions, the Seller’s guidance or applicable law, or for damage caused by incorrect or incomplete data provided by the Buyer (sections 8, 10 and 11).
  • Under Section 379 of the Commercial Code, the parties have agreed that the damage foreseeable as a possible consequence of the Seller’s breach of its contractual obligations (including the data processing agreement) does not exceed in total the price the Buyer paid or was to pay the Seller for performance in the 12 months before the damage occurred. This provision does not apply to damage caused intentionally or by gross negligence, or to harm to life or health. Claims of data subjects under Art. 82 GDPR are not affected.

13. Personal data and data processing agreement

  • The protection of personal data is governed by the privacy policy published on this website.
  • For the online training, work instruction and LOTO boards, the Buyer is the controller of the personal data of its employees and contractors and the Seller is a processor. Processing is governed by the data processing agreement, which forms part of the contract for these services. The agreement is concluded in Slovak; any English translation is for information only.
  • The Buyer accepts the data processing agreement in the company account – a signed-in user confirms that they are authorised to act for the Buyer or have been mandated to do so – or by a signed document or email, whose acceptance the Seller records. Until the agreement is accepted, participants cannot be added to the online training and invitations cannot be sent.
  • The Buyer is responsible for entering the data of its employees and contractors lawfully. The Seller shows a short notice on data processing on the Buyer’s behalf on the training start page and in the invitation.

14. Final provisions

  • Contractual relations are governed by the laws of the Slovak Republic, excluding the United Nations Convention on Contracts for the International Sale of Goods. Disputes will be settled by the courts of the Slovak Republic; the court that would have jurisdiction based on the Seller’s registered office has local jurisdiction. If the Buyer has its registered office in another EU Member State, the parties agree on the jurisdiction of the courts of the Slovak Republic (Art. 25 of Regulation (EU) No 1215/2012).
  • The Seller may amend these terms. For a one-off purchase, the version in effect at the time the order is sent applies. For ongoing services (online training during activation) the Seller will notify changes by email at least 30 days in advance; if the Buyer disagrees, it may terminate the service as of the effective date of the change and the Seller will refund the pro rata price for the unused period. The Seller will provide previous versions of these terms on request.
  • If any provision is invalid, the remaining provisions remain in effect.
